01General Disclaimer
This Disclaimer applies to the Orenyx AI Engine platform (the "Service"), operated by Orenyx Labs, LLC ("Orenyx," "we," "us," or "our"), and is incorporated into the Orenyx Terms of Service by reference. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. ORENYX DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE, EXCEPT AS EXPRESSLY SET FORTH IN AN APPLICABLE ORDER FORM.
02Automated and AI-Driven Decision-Making
The Service uses a combination of rules-based logic and artificial intelligence to route calls, tasks, tickets, and workflows, and to execute bot flows across voice, SMS, chat, and social channels, in each case without human review by default. Orenyx does not warrant that any routing, bot execution, or other automated decision made by the Service will be accurate, complete, uninterrupted, or free of error. Customer is solely responsible for reviewing and validating the suitability of the Service's automated outputs for Customer's intended use, and for maintaining appropriate escalation paths for its End Users.
03Call Recording Disclaimer
The Service may record and transcribe calls as part of its automated call handling functions. Orenyx does not independently verify that a Customer has provided the notice or obtained the consent required under applicable recording laws, including two-party or all-party consent laws, and disclaims responsibility for a Customer's failure to do so.
04Payment Risk-Scoring and Routing
The Service provides payment event risk-scoring and transaction routing infrastructure. Orenyx does not guarantee, and expressly disclaims, any warranty that use of the Service will prevent fraud, chargebacks, or unauthorized transactions. Liability for the underlying transaction, and for the relationship between Customer and its payment processor, remains solely with Customer.
05Multi-Tenant and Shared Infrastructure
Starter and Growth Plan Customers are served on shared, multi-tenant infrastructure. While Orenyx implements logical tenant isolation designed to segregate each Customer's data, Orenyx does not warrant that shared infrastructure will be free from incidents that may affect multiple tenants concurrently.
06No Professional Advice
The Service, including any compliance-related tooling, logging, or reporting functionality, is provided as a technology platform only and does not constitute legal, financial, tax, compliance, or other professional advice. Customer remains solely responsible for its own compliance with applicable law and for obtaining independent professional advice as needed.
07Third-Party Services and Downstream Products
The Service integrates with and relies upon third-party services, including Stripe for payment processing, and serves as the shared backend for other Orenyx-branded products. Orenyx is not responsible for the acts, omissions, availability, or performance of third-party services, and a disruption to the Service may have cascading effects on connected Orenyx products, for which Orenyx disclaims liability to the maximum extent permitted by law.
08Customer Integrations
Orenyx disclaims responsibility for any error, security vulnerability, data loss, or Service disruption arising from Customer's own integration with the API, including integrations that misuse, misconfigure, or overload the Service.
09No Guarantee of Uninterrupted Service
Orenyx does not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any defect will be corrected. Availability commitments, if any, applicable to a given Plan are set forth exclusively in the applicable Order Form.
10Limitation of Liability
This Disclaimer is subject to, and does not expand, the limitations of liability set forth in the Orenyx Terms of Service.
