01Scope
This Refund Policy applies to all subscription fees, usage-based overage charges, and any other amounts paid to Orenyx Labs, LLC ("Orenyx," "we," "us," or "our") in connection with the Orenyx AI Engine platform (the "Service"). This Refund Policy is incorporated into, and should be read together with, the Orenyx Terms of Service and Payment Terms.
02General No-Refund Policy
Except as expressly set forth in this Refund Policy or as required by applicable law, all fees paid for the Service, including Starter, Growth, and Enterprise Plan subscription fees and all usage-based overage charges, are non-refundable and non-creditable, regardless of whether Customer accesses or uses the Service during the applicable billing period. Fees are earned upon invoicing and are not subject to proration for partial use, except as expressly described in the Payment Terms with respect to Plan downgrades.
03Sandbox Environment
The Sandbox Environment is provided free of charge, does not require a credit card, and is not subject to this Refund Policy because no fees are charged for its use.
04Cancellation
Customer may cancel its subscription at any time through its Account settings or by written notice to Orenyx. Upon cancellation, Customer will retain access to the Service through the end of the then-current paid billing period, after which access will terminate. No refund or credit will be issued for the unused portion of any billing period following cancellation.
05Plan Changes
Upgrades to a higher Plan take effect immediately, with the new fee applied to Customer's next invoice; no refund is issued for the then-current billing period upon an upgrade. Downgrades to a lower Plan take effect at the start of the next billing cycle, and no partial-period refund is issued in connection with a downgrade.
06Overage Charges
Usage-based overage charges, billed in accordance with the Payment Terms, are non-refundable once incurred, except where Orenyx determines, in its reasonable discretion, that an overage charge resulted from a documented and verifiable metering error attributable to Orenyx, in which case Orenyx will issue a corrective credit as described in Section 7.
07Billing Disputes and Discretionary Adjustments
If Customer believes it has been billed in error, Customer must submit a written dispute to Orenyx within thirty (30) days of the disputed invoice date, together with reasonable supporting documentation. Orenyx will investigate timely disputes in good faith. Any refund, credit, or adjustment issued under this Section is granted at Orenyx's sole discretion and does not constitute a waiver of this Refund Policy with respect to any other invoice or Customer.
08Chargebacks
Customer agrees not to initiate a chargeback or payment dispute with its card issuer or bank for fees properly charged in accordance with these terms. Orenyx reserves the right to suspend or terminate Customer's Account, and to pursue collection of amounts owed, in the event of an unauthorized or bad-faith chargeback.
09Legal Requirements
Nothing in this Refund Policy limits any right Customer may have under applicable law that cannot be waived by agreement. Where applicable law requires a refund notwithstanding the foregoing, Orenyx will issue a refund to the extent, and only to the extent, required by such law.
