01Acceptance of Terms
These Terms of Service (these "Terms") constitute a binding agreement between Orenyx Labs, LLC, a Wyoming limited liability company ("Orenyx," "Company," "we," "us," or "our"), and the entity or individual accessing or using the Orenyx AI Engine platform ("Customer," "you," or "your"). These Terms govern access to and use of the Orenyx AI Engine, including its dashboards, sandbox environment, application programming interface, webhooks, and related services (collectively, the "Service"). By creating an Account, executing an Order Form, or otherwise accessing or using the Service, you agree to be bound by these Terms, together with the Orenyx Privacy Policy, Payment Terms, Acceptable Use Policy, API Terms, Disclaimer, and, where applicable, Data Processing Addendum, each of which is incorporated herein by reference.
02Eligibility
The Service is restricted to users eighteen (18) years of age or older. By using the Service, you represent and warrant that you are at least eighteen (18) years of age, that you have the legal authority to enter into these Terms on behalf of yourself or the entity you represent, and that your use of the Service does not violate any applicable law.
03Description of the Service
The Orenyx AI Engine is a decision and routing platform that uses a combination of rules-based logic and artificial intelligence to route calls, tasks, tickets, and workflows, execute bot flows across voice, SMS, chat, and social channels, score and route payment events, and maintain conversation and workflow state across connected Orenyx products. The Service is available for direct programmatic access via Orenyx's REST API and webhooks, and serves as the shared backend for other Orenyx-branded products. Orenyx reserves the right to modify, suspend, or discontinue any feature of the Service, in whole or in part, at any time, with or without notice, provided that Orenyx will use commercially reasonable efforts to notify Customer of any material adverse change affecting a paid Plan.
04Call Recording
The Service may record and transcribe calls between the Customer and its End Customers as part of its automated call handling functions. The Customer is solely responsible for providing any notice and obtaining any consent required by applicable law, including any two-party or all-party consent recording laws applicable to the jurisdictions in which the Customer operates, before enabling or continuing to use call recording functions.
05Accounts and Registration
To access the Service, Customer must register for an Account and provide accurate, current, and complete information. Customer is responsible for maintaining the confidentiality of its Account credentials and API keys, and for all activities that occur under its Account, whether or not authorized by Customer. Customer must notify Orenyx promptly of any unauthorized use of its Account or any other known or suspected breach of security.
06Subscription Plans and Sandbox Environment
Orenyx offers Starter, Growth, and Enterprise subscription Plans, each with defined included usage, features, and overage rates as described in the applicable Order Form and the Payment Terms. Orenyx also provides a free, uncapped Sandbox Environment using test API keys, requiring no credit card and no time limit, for the purpose of development and testing. The Sandbox Environment is not intended for, and must not be used to process, live production data, and Orenyx makes no representation that data submitted to the Sandbox Environment will be preserved, secured to the same standard as production data, or treated as live Customer data. Orenyx does not offer a free trial of any paid Plan.
07API Access and Use
Access to the Service, including all routing, bot execution, and payment decisioning functionality, is provided principally through Orenyx's REST API and webhooks, as further described in the Orenyx API Terms, which are incorporated into these Terms by reference. Customer is solely responsible for its own integration with the API, including for any errors, overloads, or misuse arising from Customer's implementation.
08Multi-Tenant Infrastructure
Starter and Growth Plan Customers are served on shared, multi-tenant infrastructure with logical data isolation between tenants. Enterprise Plan Customers may be provisioned on dedicated infrastructure as set forth in the applicable Order Form. Orenyx does not guarantee that shared infrastructure will be free of service interruptions affecting multiple tenants concurrently, and Customer acknowledges the shared nature of the infrastructure underlying the Starter and Growth Plans.
09Customer Data and Content
As between Orenyx and Customer, Customer retains all right, title, and interest in and to the data, information, and content submitted, transmitted, or processed by Customer, its Authorized Users, or its End Users through the Service ("Customer Data"). Customer grants Orenyx a non-exclusive, worldwide, royalty-free license to host, process, transmit, and use Customer Data solely as necessary to provide, maintain, secure, and improve the Service, to meter usage, and to comply with applicable law. Orenyx may use aggregated or de-identified data derived from Customer Data for analytics, benchmarking, and Service improvement purposes, provided such data does not identify Customer or any individual.
10Acceptable Use
Customer's use of the Service, including its API access, is subject to the Orenyx Acceptable Use Policy, which is incorporated into these Terms by reference. Orenyx reserves the right to suspend or terminate access to the Service, without liability, for any use that violates the Acceptable Use Policy or these Terms.
11Intellectual Property
The Service, including all software, models, routing logic, documentation, and underlying technology, and all intellectual property rights therein, are and will remain the exclusive property of Orenyx and its licensors. These Terms do not grant Customer any right, title, or interest in the Service except for the limited right to access and use the Service in accordance with these Terms. No rights are granted by implication, estoppel, or otherwise.
12Fees and Payment
Customer's payment obligations, including Plan fees, usage-based overage charges, upgrade and downgrade timing, and billing methodology, are governed by the Orenyx Payment Terms, which are incorporated into these Terms by reference.
13Disclaimers
THE SERVICE, INCLUDING ALL ROUTING, BOT EXECUTION, AND PAYMENT-DECISIONING FUNCTIONALITY, IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT AS EXPRESSLY SET FORTH IN AN APPLICABLE ORDER FORM. Without limiting the foregoing, Orenyx provides payment event risk-scoring and routing infrastructure only, and does not guarantee the prevention of fraud, chargebacks, or unauthorized transactions; liability for the underlying transaction remains with Customer and its payment processor relationship. Additional disclaimers applicable to the Service are set forth in the Orenyx Disclaimer, which is incorporated into these Terms by reference.
14Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ORENYX OR ITS OFFICERS, MEMBERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ORENYX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ORENYX'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO ORENYX UNDER THE APPLICABLE ORDER FORM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15Indemnification
Customer will indemnify, defend, and hold harmless Orenyx and its officers, members, employees, and agents from and against any third-party claims, damages, losses, liabilities, and expenses, including reasonable attorneys' fees, arising out of or relating to: (a) Customer Data; (b) Customer's or its Authorized Users' or End Users' use of the Service in violation of these Terms or applicable law; (c) Customer's integration with the API; or (d) any dispute between Customer and an End User, Authorized User, or third party arising from Customer's use of the Service.
16Service Availability
Orenyx will use commercially reasonable efforts to make the Service available in accordance with the uptime commitments, if any, specified for Customer's Plan in the applicable Order Form. Because the Service serves as shared infrastructure for multiple Orenyx-branded products, a disruption to the Service may affect other connected products; Orenyx does not guarantee uninterrupted or error-free operation of the Service.
17Confidentiality
Each party agrees to protect the other party's confidential information with the same degree of care it uses to protect its own confidential information of similar nature, and in no event with less than reasonable care, and to use such confidential information solely to perform its obligations and exercise its rights under these Terms.
18Term and Termination
These Terms remain in effect for so long as Customer maintains an Account or otherwise accesses the Service. Orenyx may suspend or terminate Customer's access to the Service, in whole or in part, immediately and without liability, if Customer breaches these Terms, fails to pay applicable fees when due, or engages in conduct that Orenyx determines, in its reasonable discretion, poses a security, legal, or reputational risk to Orenyx or other Customers. Upon termination, Customer's right to access the Service will immediately cease, and Sections 8, 10, 12, 13, 14, 16, and 18 through 20 will survive termination.
19Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved by binding arbitration administered in Wyoming in accordance with the rules of a mutually agreed arbitral body then in effect, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction. Each party waives any right to a jury trial and to participate in a class, collective, or representative action. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction located in Wyoming to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property or confidentiality rights.
20Modifications to these Terms
Orenyx may amend these Terms from time to time by posting the revised Terms and updating the "Last Updated" date above. Material changes will be communicated to Customer through the Service or by email where reasonably practicable. Continued use of the Service following the effective date of any revised Terms constitutes acceptance of those Terms.
21General Provisions
These Terms, together with the documents incorporated by reference, constitute the entire agreement between the parties regarding the Service and supersede all prior agreements and understandings, written or oral, regarding the subject matter herein. Customer may not assign these Terms, in whole or in part, without Orenyx's prior written consent; Orenyx may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in full force and effect. Neither party will be liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control. No waiver of any provision of these Terms will be effective unless in writing and signed by the waiving party.
